SUBSCRIPTIONS IN BRIEF
Sections 5 to 7 give the details.
These Terms of Service (the “Terms”) govern your use of Admix, including the website at admix.software, the Admix chat app and any related services we provide (together, the “Services”).
Admix is operated by Alireza Bashiri, a sole proprietor trading as Admix.Software, based in Bangkok, Thailand. In these Terms, “Admix”, “we”, “us” and “our” mean the operator. You can reach us at support@admix.software, or at legal@admix.software for legal notices.
You accept these Terms when you create an account, start a trial or paid plan, or otherwise use the Services. If you don't accept them, don't use the Services. When you start a trial or paid plan, we record when you accepted these Terms and which version you accepted.
If you use the Services on behalf of an organization, you confirm that you are authorized to accept these Terms for it, and “you” includes that organization.
You must be at least 13 years old to use the Services. If you are under 18, or under the age of majority where you live, a parent or guardian must agree to these Terms for you. If the law where you live sets a higher minimum age for a service like this, you must meet it.
ARBITRATION NOTICE: EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN SECTION 15, YOU AGREE THAT DISPUTES BETWEEN YOU AND ADMIX WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, AND YOU WAIVE ANY RIGHT TO TAKE PART IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. YOU CAN OPT OUT WITHIN 30 DAYS AS DESCRIBED IN SECTION 15. ARBITRATION AND THE CLASS-ACTION WAIVER DO NOT APPLY WHERE THE LAW OF THE COUNTRY YOU LIVE IN DOES NOT ALLOW THEM.
You need an account to use most of the Services. Give us accurate information when you sign up and keep it up to date. Your account is for you alone: don't share it or let anyone else use it. Keep your sign-in details secure. You are responsible for what happens in your account. If you think someone else has used it, tell us right away at support@admix.software.
You can send prompts, files, images, voice recordings and other material to the Services (“Your Content”) and receive responses generated by AI models (“Output”).
You keep any rights you have in Your Content. You give us permission to host, copy, process and transmit Your Content only as needed to run the Services for you: for example, to send your prompt to the AI model you choose, store your chat history and show you the response. We don't use Your Content to train AI models. Our Privacy Policy explains how AI model providers handle it.
You are responsible for Your Content. You confirm that you have the rights needed to use it with the Services and that using it doesn't break the law or anyone else's rights.
We don't claim ownership of Output. Subject to these Terms and the law, you may use the Output you receive for any lawful purpose. Other users may receive similar or identical Output.
AI models make mistakes. Output can be wrong, incomplete, out of date, biased or offensive, and different models may give different answers to the same question. Check Output before you rely on it, especially for anything important. Output is not professional advice. Don't use it in place of advice from a qualified doctor, lawyer, financial adviser or other professional.
We may review, remove or refuse to process content, and suspend access, if we reasonably believe it breaks these Terms or the law.
We give you a personal, non-exclusive, non-transferable and revocable license to use the Services as these Terms allow.
You must not, and must not help anyone else to:
You may not use the Services if you are barred from receiving them under the laws of the United States or other countries, including the country where you live or from which you use the Services.
Plans. Admix is a paid service: sending messages needs a trial or a paid plan. There is no free plan. Without a plan you can still sign in to see your account and your past chats. Our current plans and prices are shown on our pricing page and at checkout. Some subscribers are on older plans that we no longer sell; these Terms apply to those plans too.
Prices and payment. Prices are in US dollars. You pay the price shown at checkout, plus any taxes we are required to collect, which are also shown at checkout. Payments are processed by Stripe. By starting a trial or paid plan, you authorize us, through Stripe, to charge your payment method for the trial fee, for each renewal and for any upgrade you confirm.
Usage allowance. Each paid plan includes a monthly usage allowance. We measure usage by what it costs to run your messages on the AI models you choose. Bigger models, long conversations, web search and “thinking” (extended reasoning) use more of it. Your allowance renews every billing month, on monthly and yearly plans alike. Unused usage does not roll over.
To keep the Services available for everyone, we may also pace usage over shorter periods of time. We may refuse a single request that would cost more than your plan allows for one message; if that happens, you can try a shorter request or a less expensive model.
When you use up your allowance, you can wait for it to renew or upgrade to a bigger plan. Usage allowances have no cash value and can't be transferred, exchanged or refunded on their own.
Failed payments. If a payment fails, we may pause your access to the paid plan until the payment goes through. Stripe may retry the payment and email you to update your card. If the payment still can't be collected, we may cancel your subscription.
Automatic renewal. Paid plans are subscriptions, billed monthly or yearly as you choose at checkout. Your subscription renews automatically at the end of each billing period. At the start of each new period, we charge your payment method the then-current price of your plan. This continues until you cancel.
Trial. New customers may be offered a 7-day trial of a paid plan for the trial fee shown at checkout. The trial has a smaller usage allowance than the full plan, and some models and features may be limited or unavailable during it. Unless you cancel before the trial ends, it converts automatically into the paid plan at the plan's regular price, and then renews every billing period until you cancel.
Starting early. You can end your trial early and start your paid plan right away (“Start now”). Before we charge the card on file, we show you the exact amount and ask you to confirm. Your first full billing period starts that day.
Upgrades. If you upgrade to a higher plan, we show you the exact amount and ask you to confirm before we charge the card on file. The upgrade takes effect immediately, and we charge the prorated difference for the rest of your current billing period right away. For the rest of that period, the higher plan's usage allowance applies in the same proportion; from your next renewal, it applies in full. Switching from monthly to yearly billing also counts as an upgrade: we charge the yearly price, minus a credit for the unused part of your current period, and your yearly period starts that day.
Downgrades. If you move to a lower plan, or from yearly to monthly billing, the change takes effect at the end of your current billing period. You keep your current plan until then.
Cancellation. You can cancel at any time from your subscription page at admix.software/subscription, or by emailing support@admix.software. Cancelling stops future renewals. Your plan stays active until the end of the period you have already paid for. After that you can still sign in to see your account and past chats, but sending messages needs a plan again. If you cancel during the trial, you won't be charged again.
Price changes. We may change our prices. If a change affects your subscription, we will tell you in advance, by email or in the app, before the new price applies to your next renewal. If you don't want to pay the new price, you can cancel before that renewal.
Refunds. Payments are non-refundable once the service has been used, except where the law requires otherwise or these Terms say so.
Right of withdrawal (EU, EEA and UK consumers). If you are a consumer in the European Union, the European Economic Area or the United Kingdom, you have the right to withdraw from a purchase within 14 days of the date of purchase, without giving a reason. This applies to the trial, to a new subscription and to an upgrade.
The Services start as soon as you pay. So at checkout, and when you confirm an upgrade or “Start now”, you expressly ask us to start immediately, and you acknowledge that if you then withdraw, you pay for the service you received before you withdrew.
If you withdraw within the 14 days, we refund what you paid, minus a proportionate amount for the service we provided before you told us you were withdrawing. We calculate that amount from the share of that billing period's usage allowance you had used (for the trial, the trial's allowance). For example, if you had used 10% of the allowance, we keep 10% of the payment and refund the other 90%.
To withdraw, email support@admix.software with a clear statement that you are withdrawing. You can use the model form in Section 18, but you don't have to. Your withdrawal is on time if you send it before the 14 days end.
We refund you within 14 days of receiving your withdrawal, to the payment method you used, at no cost to you. The purchase you withdrew from then ends; if you withdrew from an upgrade, your account goes back to your previous plan.
Nothing in these Terms limits any rights you have as a consumer under the mandatory laws of the country where you live.
Our Privacy Policy explains what personal information we collect when you use the Services, how we use it and the choices you have.
The Services connect you to AI models run by other companies, through OpenRouter, and to services you choose to connect, such as Linear or Notion. We don't control those services and are not responsible for their availability, their output, or how they handle data under their own terms. We may add, change or remove models and providers at any time.
When you connect another service to your account, you allow us to send it the data you ask the assistant to send. That service's own terms and privacy policy apply to it.
We change and improve the Services over time. We may add, change or remove features, models and plans.
We may update these Terms. If we make a material change, we will give you notice by email or in the app before it applies. If you keep using the Services after the change applies, you accept the updated Terms. If you don't accept them, stop using the Services; if you have a subscription, you can cancel it before the change applies. The “Last Updated” date at the top shows when these Terms last changed.
You can stop using the Services at any time. To close your account, cancel any subscription and email privacy@admix.software. Our Privacy Policy explains what happens to your data.
We may suspend or close your account, or limit your access, if you seriously or repeatedly break these Terms, if the law requires us to, or if it is needed to protect the Services, other users or anyone else. Where we reasonably can, we will tell you why.
We may also stop providing the Services, or close your account for another reason, by giving you reasonable notice. If we do this while you are on a paid plan, we will refund the unused part of your current billing period.
When your account is closed, your right to use the Services ends. Parts of these Terms that by their nature should continue, such as those on content, disclaimers, liability, indemnification and disputes, continue to apply.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, AND YOU USE THEM AT YOUR OWN RISK. ADMIX MAKES NO EXPRESS WARRANTIES AND DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT ANY OUTPUT WILL BE ACCURATE OR COMPLETE.
Some countries don't allow these disclaimers, so some of them may not apply to you. They don't affect rights you have as a consumer that can't be excluded under the law where you live.
TO THE FULLEST EXTENT PERMITTED BY LAW, ADMIX WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA. ADMIX'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED US DOLLARS (US$100).
Nothing in these Terms limits or excludes liability that can't be limited or excluded by law, such as liability for fraud, or for death or personal injury caused by negligence.
You agree to indemnify and hold harmless Admix against any third-party claim, and the related losses and reasonable costs, arising from (a) your breach of these Terms, (b) your use of the Services, (c) your violation of any law, or (d) Your Content. If you are a consumer, this applies only as far as the law where you live allows.
These Terms, and any dispute about them or the Services, are governed by the laws of the State of California, without regard to its conflict-of-laws rules. If you have a dispute with us, please email legal@admix.software first so we can try to resolve it informally.
Except for small-claims disputes and claims for injunctive relief, any dispute arising out of these Terms or your use of the Services will be finally settled by binding arbitration in Santa Clara County, California, under the Federal Arbitration Act and the then-current rules of JAMS, by one arbitrator appointed under those rules.
ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION.
You can opt out of arbitration within 30 days of the date you first accepted these Terms by emailing legal@admix.software with your name, your account email address and a clear statement that you are opting out.
Consumers. If you are a consumer in the European Union, the European Economic Area, the United Kingdom, or another country whose law gives you rights that can't be waived by contract: nothing in these Terms takes those rights away, including the protection of the mandatory laws of the country where you live; you may bring claims in the courts where you live; and the arbitration and class-action waiver in this section don't apply to you where your local law forbids them.
Notices. We may send you notices by email to the address on your account or in the app. You can send notices to us at legal@admix.software.
Transfer. We may transfer our rights and obligations under these Terms to someone else, for example if the business is sold. If we do, your rights under these Terms won't be reduced. You may not transfer your rights under these Terms without our written consent.
Entire agreement. These Terms, together with our Privacy Policy, are the whole agreement between you and us about the Services. If a court finds part of these Terms unenforceable, the rest stays in effect. If we don't enforce a provision right away, we have not waived it.
